These Terms of Use (“Terms”) govern access to and use of ScomsERP, an enterprise resource planning (ERP) platform owned and operated by Quantum InfoSys Pvt. Ltd. (“Quantum”, “we”, “our”, or “us”).

By accessing or using ScomsERP through mobile applications, web applications, or enterprise deployments, you agree to comply with these Terms.

1. Nature of the Service

ScomsERP is a closed, organization-managed ERP system. It is not a consumer-facing public service.

• ScomsERP is provided to organizations under contractual agreements.
• Academic, Healthcare, Corporate, Retail POS, HR & Payroll, Accounting,
  Inventory, and other domains are modules enabled per client requirements.

2. Eligibility & Account Access

Access to ScomsERP is restricted to authorized users enrolled by a client organization.

• No public registration or self-signup is permitted.
• User accounts are created and managed by the organization.
• Login credentials are issued only if enabled by the organization.
• Access may be suspended or revoked at any time by the organization.

3. User Responsibilities

• Use ScomsERP only for lawful and authorized organizational purposes.
• Maintain confidentiality of login credentials.
• Do not attempt unauthorized access, modification, or disruption.
• Comply with internal policies of the organization.

4. Organization Responsibilities

• Ensure accuracy and legality of data entered into ScomsERP.
• Obtain required consents from users, students, patients, or employees.
• Define user roles, permissions, and access levels.
• Manage account lifecycle, including activation and deactivation.

5. Acceptable Use

• Do not misuse the platform or use it for illegal activities.
• No reverse engineering, copying, or unauthorized distribution.
• No interference with system security or performance.
• No use beyond the scope authorized by the organization.

6. Data & Privacy

Use of ScomsERP is subject to our Privacy Policy. Data is processed on behalf of the client organization.

• Quantum acts as a data processor.
• The client organization acts as the data controller.
• Users should contact their organization regarding data rights.

7. Intellectual Property

ScomsERP, including its software, design, trademarks, and content, is the intellectual property of Quantum InfoSys Pvt. Ltd.

• No rights are granted except as expressly stated.
• Unauthorized use of intellectual property is prohibited.

8. Service Availability & Modifications

Quantum strives to provide reliable service but does not guarantee uninterrupted availability.

• Maintenance, updates, or outages may occur.
• Features may be modified, enhanced, or discontinued.
• Some features may depend on third-party services.

9. Suspension & Termination

• Access may be suspended for violation of these Terms.
• Organizations may terminate user access at any time.
• Termination may result in loss of access to data.

10. Disclaimer & Limitation of Liability

ScomsERP is provided “as is” and “as available”. Quantum is not liable for indirect, incidental, or consequential damages.

• No guarantee of suitability for specific purposes.
• No liability for organization-entered data.
• No liability for third-party service disruptions.

11. Governing Law & Jurisdiction

These Terms are governed by the laws of Nepal. Any disputes shall be subject to the jurisdiction of Nepalese courts.

12. Changes to These Terms

Quantum may update these Terms from time to time. Continued use constitutes acceptance of the updated Terms.
